Through a board meeting held on March 31, 2026. The acquisition aims to leverage Fuji Design's expertise in architectural design and energy efficiency services to enhance synergies within the IZUMI Group and drive further business expansion. Fuji Design, established on August 18, 1976, specializes in architectural design and energy-efficient solutions. It currently holds a capital of ¥10 million. Key shareholders include Fujihara Akira with a holding ratio of 47.36% and Hayashi Takashi with 24.93%. Major shareholders also include Fujihara Rieko with 24.93% and Tokunaga Toshio with 2.77%. Financial highlights show Fuji Design’s total assets stood at ¥425.8 million in fiscal 2023, rising to ¥482.0 million in 2024, and reaching ¥461.0 million in 2025.
Operating profit increased from ¥95.4 million in 2023 to ¥64.2 million in 2025. Net income grew from ¥72.8 million in 2023 to ¥44.2 million last year. The transaction involves acquiring 1,900 shares, which will give IZUMI Group a significant stake in Fuji Design. The exact purchase price remains undisclosed due to confidentiality agreements. Post-acquisition, IZUMI Group will hold 1,900 voting rights, representing 52.63% of the total voting rights. The share transfer is scheduled to take place on July 30, 2026.
