IX Knowledge orporates Free Share Awards to Directors on Aug 7
TOKYO, Jul 21 (Pulse News Wire) – IX Knowledge Incorporated (9753.T) announced that its board of directors held on July 21 decided to issue free share awards as part of a restricted stock compensation plan. The shares totaling 5,829 ordinary shares will be transferred without charge to four named directors on August 7, 2026.
The fair value of the shares, based on the closing price of July 17, 2026, was calculated at ¥1,286 per share, resulting in a total valuation of ¥7.50 million. The purpose of this award is to incentivize long-term performance and align interests with shareholders. Under the new compensation system approved in April 2022, directors receive either unrestricted cash payments or restricted stock grants. The number of shares granted annually cannot exceed 50,000 shares.
In addition, the aggregate monetary value of the restricted stock grants cannot surpass ¥30 million annually. Furthermore, the company's board agreed to impose restrictions on transferring these shares until the directors meet certain conditions tied to their continued service and achievement of mid-term performance goals. Shares will vest fully upon completion of a three-year tenure and meeting specific revenue and operating profit growth benchmarks set forth in the annual business plans. Failure to meet these criteria results in the company reclaiming the unvested shares.
