Itmedia Announces Cancellation of Employee Stock Options

– ITmedia Inc. (2148.T) announced the cancellation of employee stock options granted in 2021.

The board resolved to cancel the options due to failure to meet performance criteria outlined in the company’s March 2026 securities report. The options, originally issued to 282 employees, totaled 3,570 units with an exercise price of ¥1,958 per share. They were exercisable from July 1, 2024, to August 2, 2031. Following the cancellation, no remaining options will exist.

The cancellation was triggered because the company did not achieve the stipulated conditions for exercising the options, which included meeting revenue and operating profit thresholds set for fiscal years 2024 through 2026. Specifically, the conditions required revenues of ¥10.00 billion and operating profits of ¥3.500 billion in a single fiscal year, or revenues of ¥10.00 billion and operating profits of ¥4 billion. Failure to meet these criteria led to the unconditional cancellation of the options. The impact on the company's earnings is expected to be minor.
