Imageone issues stock options to executives
TOKYO, Jul 30 (Pulse News Wire) – Imageone CO.,LTD. (2667.T) announced the issuance of 1,000 stock options to its executive officers and those of its subsidiaries.
The options, known as the 15th Subscription Rights, will require holders to exercise their rights if the company's share price falls below a set threshold for ten consecutive trading days post-issue. Each option comes with a payment of ¥74 per share, determined through a fair valuation process conducted by an independent third-party appraiser. The stock options aim to enhance management commitment and incentivize long-term performance improvement.
Executives will bear the cost of purchasing the options and face mandatory exercise obligations if triggered, aligning their interests closely with shareholders. The total number of ordinary shares potentially issuable upon exercise of all subscription rights is equivalent to 0.01% of the outstanding shares as of June 30, 2026. The company confirmed that each recipient has sufficient funds to cover the initial payment and subsequent exercise requirements.
Additionally, the design ensures that neither voluntary relinquishment nor arbitrary acquisition by the company is permitted, reinforcing accountability and shared risk among recipients and existing shareholders.
