Ikuyo Grants PSU Units Based on Performance Targets

– Ikuyo CO.,LTD. (7273.T) announced today that it has decided to grant performance share units (PSUs) to directors, executive officers, and employees based on performance targets set for fiscal years ending March 2027 through March 2030.

The PSUs will be granted to two internal directors and up to 36 additional individuals, totaling up to 207,000 and 693,000 PSUs respectively. Under the PSU program, recipients will receive shares and cash payments equivalent to their tax obligations upon achieving predefined performance goals during the evaluation period. The performance metrics include reaching consolidated sales levels of 80% billion yen, 90% billion yen, and 100% billion yen within the designated timeframe.

The PSUs will be distributed , and the company will issue new shares or dispose of treasury stock to deliver the corresponding number of shares to recipients post-vesting. Any fractional shares resulting from the distribution will be rounded down. The subscription price per share will be determined based on the closing price of the company's stock on the Tokyo Stock Exchange on the day preceding the board meeting decision.

In cases where significant organizational restructuring occurs during the evaluation period, unvested PSUs will not result in equity delivery.
