Hitomile Shifts SKY Group Holdings to Related Party Status

TOKYO, Jun 24 (Pulse News Wire) – Hitomile CO.,LTD. (7686.T) announced changes to its controlling shareholder status effective June 24, 2026.

As of March 31, 2026, SKY Group Holdings Corporation holds 46.79% of the voting rights directly and indirectly without any listed securities. Previously classified as a parent company, SKY Group Holdings was reclassified as another related party due to recent organizational adjustments. The company maintains operational independence despite the significant shareholding.

There are no cross-directorships or employee exchanges between HitoMile and SKY Group Holdings. Additionally, there are no transactions involving the controlling shareholders that require special reporting. To protect minority shareholders in potential future dealings with SKY Group Holdings, HitoMile established a committee comprising two independent outside directors to review the necessity, fairness, and scale of such transactions.

Any proposed deals would need approval from the board of directors to ensure fair treatment of all stakeholders.
