Gurunavi 's Largest Shareholder Is Rakuten With 16.45% Voting Rights

TOKYO, Jun 26 (Pulse News Wire) – Gurunavi,inc. (2440.T) disclosed that Rakuten Group holds 16.45% voting rights, making it the largest shareholder.

As of March 31, 2026, Rakuten owns 16.45% of Gurunavi’s shares directly without any additional aggregated holdings. In addition, Rakuten appointed three external directors to leverage synergies from their collaboration. Meanwhile, four independent outside directors were also selected to strengthen governance oversight and ensure independence in decision-making processes.

The company established a Governance Committee composed primarily of outside members to enhance supervisory functions and corporate governance. Regarding transactions, Gurunavi reported unpaid balances totaling ¥62.5 million and expenses amounting to ¥287.0 million related to promotional activities with Rakuten Group during the fiscal year ending March 31, 2026. All such transactions adhere to general conditions similar to those between independent third parties, ensuring fair dealings and protecting minority shareholders' interests.
