Gunosy Appoints New Directors and Auditors for Upcoming Shareholders' Meeting
TOKYO, Jul 15 (Pulse News Wire) – Gunosy Inc. (6047.T) announced today that its board of directors has decided on candidates for directors and auditors, which will be proposed at the upcoming 14th regular shareholders' meeting scheduled for August 26, 2026.
The appointments were made based on recommendations from the Nomination and Remuneration Committee. Among the key changes, Katsuro Nishi, President and CEO, and Junnosuke Sawamura, Chief Executive Officer, along with Yasuyuki Iwase, Chief Financial Officer, and others, have been reappointed. Additionally, four external directors—Yutaka Tomizuka, Junichi Jingota, Akira Moriyasu, and Shin Arisawa—are also being retained. However, Takahiro Hayashi is set to retire as a director effective August 26, 2026.
Regarding the auditor positions, Masayoshi Ishihara will continue his role as an auditor, while Madoka Mori, who joined the firm in November 2002 and currently works at Anderson Mori & Tomotsune Foreign Law Joint Enterprise, will be newly appointed as an independent outside auditor. Mori's extensive experience in legal and labor matters qualifies her for the position, despite having no direct involvement in corporate management. She will serve independently without conflicts of interest with general shareholders. These changes aim to strengthen the governance structure ahead of the annual shareholder gathering.
