Globee to Amend Articles of Incorporation Reducing Number of Directors

TOKYO, Jul 27 (Pulse News Wire) – Globee Inc. (5575.T) announced that at the board meeting held, it resolved to propose amendments to its articles of incorporation at the upcoming 12th annual shareholders' meeting scheduled for August 27, 2026.

The primary purpose of the amendment is to adjust the number of directors, excluding audit committee members, from three or more to two or more. The proposed changes would revise Article 17 of the company's articles of incorporation, which currently stipulates that the number of directors, excluding those serving as audit committee members, should be between three and six.

Under the amended proposal, this range would be reduced to between two and six directors. The board resolution was made, with the shareholder meeting set for August 27, 2026, to consider the proposed amendments.

If approved, the revised articles of incorporation would take effect on the same day.
