Furyu to Sell Own Shares for Performance-Based Equity Compensation Plan
TOKYO, Aug 07 (Pulse News Wire) – Furyu Corporation (6238.T) decided to sell own shares worth ¥343 million on August 28, 2026 to fund additional contributions to its performance-based equity compensation plan, known as Board Benefit Trust-Restricted Stock (BBT-RS). Under this plan, ordinary shares totaling 245,000 will be sold to Nippon Custodian Bank Co., Ltd.
(Trust E Account). The sale price per share is set at ¥1,400. The purpose of this transaction is to secure future stock allocations needed for the ongoing operation of the BBT-RS program. This decision follows amendments made to the BBT-RS plan during the regular shareholders' meeting held on June 23, 2026.
According to the latest revisions, the number of shares to be disposed of corresponds to the anticipated fair value total points for two fiscal years ending March 31, 2028, representing approximately 0.87% of the outstanding shares as of March 31, 2026 (0.92% of total voting rights). The company believes this dilution level is reasonable based on the objectives outlined in the previous notice dated May 19, 2026. The disposal price was determined based on the closing price of Furyu's ordinary shares on the Tokyo Stock Exchange on the trading day immediately preceding the board resolution, which was set at ¥1,400. This approach ensures a fair representation of the company’s market valuation at the time of the decision.
