Fukuoka REIT Corp Sees Major Shareholder Change After Transfer to Fukuoka Tokushu

– Fukuoka REIT Corporation (8968.F) announced major changes in shareholder composition following the transfer of shares held by Kyushu Electric Power Co., Western Gas Holdings, Craftia Co., and JR Kyushu to Fukuoka Tokushu., the asset management company's board approved the share transfer involving a total of 1,000 ordinary shares, representing 25% of the outstanding shares. Post-transfer, Fukuoka Tokushu will hold 3,200 shares, accounting for 80% of the outstanding shares.

Prior to the transfer, Kyushu Electric Power Co. was the second-largest shareholder with 400 shares, while Western Gas Holdings, Craftia Co., and JR Kyushu each held 200 shares. Following the transaction, their holdings will drop to zero.

Meanwhile, Fukuoka Tokushu’s stake will rise from 2,200 shares to 3,200 shares, maintaining its position as the largest shareholder. The transfer is scheduled to take place on June 30, 2026, with the contract expected to be finalized on the same day. The move is anticipated to strengthen collaboration with Fukuoka Tokushu, particularly in pipeline support contracts, potentially driving external and internal growth for the investment trust.

There will be no changes to the asset management agreement or operational structure due to this shift.
