FUJI Media Holdings TO ISSUE RESTRICTED STOCK TO EMPLOYEES THROUGH SHARE PLAN

– Fuji Media Holdings, inc. (4676.T) resolved to issue restricted stock to employees through its employee share plan, FMH Employee Trust Fund, on August 04, 2026.

The company will distribute ordinary shares totaling 40,596 at a price of ¥3,919 per share, with the total value being ¥159.1 million. The payment date for the issuance is set for September 03, 2026. This distribution is part of a broader initiative aimed at enhancing engagement scores and employee satisfaction among staff members. Under the plan, eligible employees will receive special incentives in the form of monetary bonds, which they will contribute to the trust fund. In return, the trust fund will acquire restricted shares from the company.

The restricted shares come with limitations on transfers and pledges during a restriction period from September 03, 2026 to March 31, 2026. Additionally, the company and the trust fund will enter into a restricted stock allocation agreement, stipulating conditions such as prohibition on transferring the allocated shares to third parties during the restriction period and mandatory acquisition of untransferred shares by the company upon expiration of the restrictions. The agreement also outlines procedures for lifting restrictions based on continued membership status or specific events leading to withdrawal from the trust fund. The decision was made considering the fair valuation of the company's equity, with the issuance price determined based on the closing price of the company’s ordinary shares on the Tokyo Stock Exchange Prime Market on September 03, 2029, which was ¥3,919. This ensures alignment with recent market valuations and avoids overly favorable pricing for the trust fund or participating employees.
