FUJI CORP Announces Resignation of Outside Director and Withdrawal of Board Nominee
TOKYO, Jun 22 (Pulse News Wire) – Fuji Corporation (6134.NG) announced today that outside director Yasushi Iwazaki resigned effective June 22, 2026. As a result, the company withdrew part of its proposal for the election of seven directors at its upcoming annual shareholders' meeting scheduled for June 26, 2026.
The revised proposal now seeks the appointment of six directors, excluding Iwazaki's nomination. The changes affect the second agenda item at the shareholders’ meeting, which originally proposed the reappointment of seven directors. With Iwazaki’s resignation, the board size will be reduced to six members.
The revised proposal includes five existing nominees and one new candidate, maintaining the total number of nominees at six. In addition to the withdrawal of Iwazaki’s candidacy, the company removed his profile and biographical details from related documents distributed prior to the meeting. Shareholders who have already voted on the original proposal should note that their votes will now apply solely to the remaining six candidates.
Internet voting and postal ballots remain open until June 25, 2026, allowing absent shareholders ample time to cast their updated votes.
