TOKYO, Jul 10 (Pulse News Wire) – Espoir(3260.NG) reinstated its third-party committee today following a temporary suspension due to concerns over the independence of previous members. The new committee, comprising four independent experts, was established during a board meeting held on June 30.
The decision comes after the company faced issues related to the adequacy of documentation for certain transactions from prior fiscal years, leading to an unqualified opinion in its February 2026 audit report. To address these concerns, Espoir has tasked the newly formed committee with conducting an impartial investigation into the factual circumstances, analyzing the root causes, and proposing effective preventive measures. The committee's composition includes Shozo Matsumoto, a lawyer from Miyakezaka Comprehensive Law Office, Kunihisa Yamashita, a certified public accountant from Yamashita Accounting Firm, Ryuunosuke Takahashi, a certified public accountant from Hibiya Comprehensive Accounting Firm, and Tsuneyuki Sano, a tax advisor from Sano Tax Advisory Office.
Regarding the timeline, Espoir initially expected to receive the committee’s investigative report by mid-July 2026 but now anticipates receiving it by mid-August due to the recent re-establishment of the committee. The company commits to promptly disclosing the findings upon receipt of the report and will continue to update stakeholders on any significant developments. Espoir deeply apologizes for any inconvenience and concern caused to shareholders and investors throughout this process.
