Entrust Grants Equity Compensation Options to Directors
TOKYO, Jul 24 (Pulse News Wire) – Entrust Inc. (7191.T) resolved to issue equity compensation options, in the form of subscription rights, to its directors during a board meeting held .
The move aims to align director interests with shareholder value by making them share both gains and risks associated with stock price fluctuations. Under the plan, 42 subscription rights will be granted to directors, excluding external ones. Each right entitles the holder to receive ordinary shares of Entrust Inc. based on a Black-Scholes model valuation of ¥July 24, 2026.
The exercise period for these rights spans from August 14, 2026, to August 13, 2056. Additionally, the issuance of these rights does not qualify as favorable issuance due to the fair evaluation method used. In case of organizational restructuring such as mergers or spin-offs involving Entrust Inc., the company reserves the right to acquire these subscription rights free of charge under specific conditions outlined in the resolution. Furthermore, the subscription rights will lapse upon the occurrence of certain events, including the loss of director status or changes in capital structure exceeding permissible limits.
