Duskin Enhances Board Effectiveness for Sustainable Growth

– Duskin CO.,LTD. (4665.T) announced today the results of its evaluation aimed at enhancing the effectiveness of its board meetings for sustainable growth and long-term corporate value improvement.

The analysis covered all directors and auditors, focusing on various aspects such as board composition, operations, strategic planning, internal controls, nomination and remuneration processes, among others. The evaluation was conducted during the period from December 15, 2025, to April 30, 2026, encompassing twelve board meetings held from April to November 2025. Key findings included thorough discussions on significant decisions and operational challenges, regular strategy sessions, and efforts to streamline decision-making through delegated authority. Additionally, external directors participated as observers in crucial executive meetings to ensure effective oversight and supervision.

Based on the feedback gathered, the External Director Advisory Committee, comprising three independent outside directors and three outside audit committee members, analyzed the performance comprehensively. They recommended continuous improvements for the fiscal year ending March 2027, emphasizing enhanced flexibility in responding to changing market conditions and optimizing the company's portfolio. For the upcoming fiscal year, Duskin plans to deepen discussions on value creation strategies, improve budget monitoring and investment tracking, promote separation of supervisory and execution roles, and further refine succession planning. Specific initiatives include advancing capital cost-awareness in business operations, accelerating data-driven discussions, and strengthening the review process for key performance indicators.
