Disco Grants Executives Stock Options Amid July Board Meeting

– DISCO Corporation (6146.T) announced that during its board meeting held, it approved the issuance of stock options to six executives based on provisions outlined in Articles 236, 238, and 240 of the Companies Act. A total of 36 stock options will be granted, with each option allowing the holder to purchase 100 ordinary shares.

The exercise price will be determined based on the average closing price of DISCO's shares on the Tokyo Stock Exchange in the month preceding the grant date, multiplied by 1.05. Exercise prices will be adjusted in case of share splits or rights issues. Payment for the options will be made through offset against existing salary claims, avoiding cash payment requirements.

Executives must remain in their positions until the end of their term or due to legitimate reasons such as retirement to retain eligibility for exercising the options. Any breach of legal regulations or ethical misconduct leading to significant financial statement corrections will result in the forfeiture of unexercised options. Additionally, should an executive engage in wrongful behavior post-exercise, they would be obligated to return the acquired shares or equivalent monetary value to the company.

The exercise period for these options spans from August 8, 2028, to August 7, 2034.
