Coca-Cola Bottlers Japan to Dispose of Own Shares for Executive Compensation Trust
TOKYO, Jul 30 (Pulse News Wire) – Coca-Cola Bottlers Japan Holdings Inc. (2579.T) resolved at a board meeting held on July 30 to dispose of own shares through a private placement to enhance long-term corporate value and contribute to stock price appreciation.
The disposal, scheduled for August 20, involves issuing ordinary shares worth ¥4,591 per share, totaling ¥7.411 billion. The shares will be transferred to Nippon Mitsubishi UFJ Trust and Banking Corporation as part of a compensation trust for executives. The transaction is expected to dilute outstanding shares by 0.94%, based on the total number of issued shares of 171,268,593 as of June 30, 2026.
The company’s executive compensation program, approved at the annual shareholders' meeting on March 26, uses the trust to incentivize executives and align their interests with those of shareholders. The trust agreement, effective since May 31, 2023, runs until May 2029. The disposal price was determined based on the closing price on the Tokyo Stock Exchange on July 29, which was confirmed to be fair and non-preferential by the audit committee.
The share disposal does not require additional shareholder approval or independent third-party opinions due to the low dilution rate of less than 25%.
