Ccreb Advisors Acquires Real Estate Asset With Conditional Land Purchase Agreement

– CCReB Advisors Inc. (276A.T) announced that at the board meeting held, the company resolved to acquire a real estate asset (hereinafter referred to as "the property") and entered into a conditional land purchase agreement contingent upon certain conditions being met.

The acquisition aims to secure stable cash flow and rental income in the medium term, aligning with the company's FY2026-FY2028 mid-term plan titled "A Tech-Driven Platform Strategy." The property is located in Kyoto, Uji Shi and consists of a building with a leasehold right. The contract was signed, with settlement also scheduled for the same day. Additionally, the company secured a conditional land purchase agreement effective from June 26, 2026, through June 25, 2029, which would activate should the tenant vacate the premises during this period. Details of the seller and the transaction price remain confidential due to a non-disclosure agreement.

However, the purchase price for the building does not exceed the net assets of the previous fiscal year-end (August 2025). Should the company exercise its option to purchase the land, the anticipated cost would surpass the net assets of the previous fiscal year-end (August 2025). The seller is a domestic special-purpose company with no significant capital or operational ties to CCReB Advisors. The company expects the building acquisition to be reflected in its August 2026 consolidated earnings forecast but has not included potential land acquisition costs in the projections due to the conditional nature of the agreement.
