TOKYO, Jun 26 (Pulse News Wire) – CAPITA Inc. (7462.T) announced on June 26 that it has introduced an executive officer system aimed at strengthening governance and operational efficiency.
The decision was made during a board meeting held on the same day. The primary goal of implementing this system is to separate the board's supervisory function from its operational execution, thereby enhancing oversight while clarifying responsibilities and authority among executives. This structure is designed to enable more agile responses to changing business environments.
Additionally, the company plans to foster future leadership talent to sustainably improve corporate value and expand corporate governance further. Key features of the new system include selecting executive officers through board resolutions, assigning them tasks under the CEO’s direction, setting their term at one year with potential reappointment, allowing (dual roles) with directors, and determining compensation separately via board decisions. The system took effect immediately upon announcement on June 26.
