Bplats Announces Exercise Status of Warrants and Convertible Bonds in July
TOKYO, Jul 31 (Pulse News Wire) – Bplats,inc. (4381.T) disclosed the exercise status of its sixth tranche warrants and first tranche convertible bonds with attached warrants, along with the seventh tranche warrants (with price adjustment clause), issued through private placements.
In July 2026, the company reported significant exercises of the sixth tranche warrants and first tranche convertible bonds, which became subject to monthly reporting due to changes in regulations following the issuance of the seventh tranche warrants on June 15, 2026. Specifically, during the month, 211,000 shares were delivered based on the exercise of the sixth tranche warrants, representing a 0.11% exercise rate relative to the total number of warrants issued. Additionally, 211,000 shares were also delivered from the seventh tranche warrants, marking a 0.11% exercise rate compared to the total number of warrants issued.
Regarding the seventh tranche warrants, there was notable activity on July 22 and July 24, 2026, exceeding the permissible exercise limit set by the Tokyo Stock Exchange's Securities Listing Regulations Article 434 and the Japan Securities Dealers Association’s Rules Governing Third-Party Allotments. On these dates, the exercise prices exceeded the closing price on the decision-making day for warrant issuance (May 29, 2026), allowing for excess exercise according to Regulation Implementation Rules Article 436, Paragraph 5. As a result, the overall exercise ratio for July surpassed the permitted threshold.
