Baby Calendar Files Criminal Complaint Against Former CFO

TOKYO, Jul 24 (Pulse News Wire) – Baby Calendar Inc. (7363.T) announced today that a criminal complaint against its former CFO, Keiji Yasuda, was officially accepted by authorities on March 31, 2026.

The company initiated the investigation following the identification of irregularities related to the former CFO's conduct in January 2026. A special investigative committee confirmed significant compliance violations involving misappropriation of accounts receivable and cash, leading to the filing of charges. The accused served as CFO and head of the management department until his retirement on March 28, 2025. The complaint alleges that he misappropriated a total of ¥9.3 million from advertising revenue by diverting funds intended for company accounts to his personal bank account.

The complaint was filed with the Harajuku Police Station, and the charge is embezzlement. Regarding future actions, the company has entered into a debt acknowledgment agreement with the defendant to recover outstanding amounts. Financial statements for fiscal years ending December 2025 and the first quarter of 2026 have been revised accordingly. The company apologized for causing concern among shareholders and investors and stated it would implement comprehensive reforms based on previously announced measures to prevent recurrence and improve governance.
