TOKYO, Jan 30 (Pulse News Wire) -- Axis Consulting Corporation (9344.T), led by President COO Fumitaka Ito, announced today that its board of directors has resolved to acquire all shares of Sun System Planning Co., Ltd., making it a wholly-owned subsidiary. The acquisition is part of Axis's strategy to expand its service offerings and enhance long-term corporate value through mergers and acquisitions (M&A).
Sun System Planning, headquartered in Chuo Ward, Tokyo, specializes in system development, operation support, and infrastructure construction services. Founded in July 1981, the company boasts a stable customer base and has demonstrated consistent performance over recent years. In fiscal year 2024, Sun System Planning reported total assets of ¥473 million and net sales of ¥531 million, with a net income of ¥9 million.
Axis believes that combining Sun System Planning’s technical expertise and customer relationships with its own strengths in high-end talent recruitment, business creation, and sales will significantly boost existing operations. Expected synergies include increased utilization rates through leveraging Axis's client network, higher pricing due to expanded involvement in upstream processes, and enhanced hiring capabilities using shared databases. The acquisition involves purchasing 20,000 shares of Sun System Planning, giving Axis a 100% stake in the company. However, Axis confirmed that the price does not exceed 15% of its latest fiscal year-end net asset value. Advisory fees associated with this transaction are estimated at ¥35 million.
