Allied Architects cancels stock options for 2,450 warrants

– Allied Architects,Inc. (6081.T) canceled the exercise rights of 2,450 stock options tied to its 18th and 19th tranches of subscription warrants, which were originally issued in November 2017.

The decision was made during a board meeting held. The cancellation follows the failure to meet performance criteria set forth in the warrant agreements. Both tranches had their respective delivery standards set for December 2019 and December 2020, but neither was met due to poor company performance relative to the stipulated benchmarks. As a result, the warrants did not serve their intended incentive function and remained unexercisable since beneficiaries were not designated. Under the trust agreement governing these warrants, the trustee cannot exercise the warrants themselves, making beneficiary designation crucial for their activation.

With no beneficiaries named, the warrants became void. Additionally, the majority of the performance evaluation periods have concluded without achieving any of the set benchmarks. This action will result in a windfall gain of approximately ¥490 billion being recognized as extraordinary income in the fiscal year ending December 2026. The impact on the company's earnings is expected to be minor. Furthermore, the potential share count will decrease by 490,000.
