Aica Kogyo Company Kogyo to Sell Own Shares for Employee Benefit Trust on August 20

– Aica Kogyo Company, limited (4206.NG) resolved to sell own shares worth ¥182.4 million on August 20, 2026, to fund a stock grant program for employees through a trust arrangement. The company will dispose of 50,000 ordinary shares at ¥3,649 per share to Nippon Custodian Bank (Trust E).

The move follows a board resolution aimed at supporting the continuation of the employee benefit plan known as J-ESOP, which was introduced in January 2021. This disposal aligns with the initial purpose outlined in previous disclosures dated January 29, 2021, and April 30, 2021. It involves selling approximately 0.07% of the outstanding shares as of March 31, 2026, corresponding to projected grants over five fiscal years ending March 2031.

The decision considers the dilution impact reasonable based on the total number of issued shares as of March 31, 2026, being 67,590,664. Additionally, Aica Kogyo will make a cash contribution of ¥182.4 million to the trust on the same day, acquiring 50,000 shares via the sale of own shares. The price is set based on the closing price of Aica Kogyo's ordinary shares on the Tokyo Stock Exchange on the trading day prior to the board meeting’s resolution.
