TOKYO, Jul 31 (Pulse News Wire) – A-rizap G (2928.S) approved the transfer of its second tranche subscription rights from CEO Ken Seto to his asset management firm, CBM Co., Ltd., effective August 3, 2026. The approval was made during a board meeting held.
Seto initiated the request to facilitate smoother asset management. The subscription rights, totaling 43,623,800 shares, were transferred at an agreed-upon amount per right, determined based on a valuation by an independent third-party agency. Issued on September 1, 2023, the rights were aimed at enhancing commitment towards early recovery of investments in chocoZAP and strengthening the company's financial foundation.
Additionally, the transfer maintains the existing contractual obligations between Rizap Group and Seto, ensuring that the conditions tied to the subscription rights remain intact post-transfer. Any changes in control or significant shifts in Seto’s relationship with CBM would trigger similar provisions outlined in the initial agreement. This transaction does not alter the total number of subscription rights or their issuance terms, thus avoiding any dilution of Rizap Group's equity.
